1. AGREEMENT TO TERMS
These Terms of Service ("Terms") constitute a legally binding agreement between you (the "User", "you", "your") and WILDX LIMITED, a company registered in England and Wales under number 16505785, trading as WILDPAY ("WILDPAY", "we", "us", "our"). By accessing, registering for, or using the WILDPAY platform, website, mobile application, API, and related services (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and all applicable laws and regulations. If you do not agree with any provision of these Terms, you must immediately cease all use of the Services.
2. NATURE OF SERVICE & PARTNERSHIP STRUCTURE
2.1 Financial Technology Platform, Not a Bank
WILDPAY is a financial technology company and card program manager, not a bank, financial institution, or money services business. We do not:
Issue payment cards or account numbers
Accept deposits or provide banking services
Extend credit or offer interest on balances
Provide custodial wallet services for fiat currency
Act as a money transmitter
2.2 Partner Banking Structure
All financial services are provided through our licensed and regulated partner institutions:
Card Issuance: Payment cards (virtual and physical) are issued by our licensed banking partners, members of the FDIC or equivalent deposit guarantee schemes, pursuant to license by Mastercard International Inc. and/or Visa U.S.A. Inc.
Fund Custody: Fiat currency funds are held in pooled accounts with our partner banks or electronic money institutions.
Wallet Services: The digital wallet interface is provided by WILDPAY, while the underlying custody and safeguarding of funds are managed by our regulated partners, including Virtual Asset Service Providers (VASPs) registered with the Financial Intelligence Unit - Ministry of Finance (FIU-MOF) where applicable.
Payment Processing: Transaction processing is handled by our banking and payment processing partners.
2.3 Our Role
WILDPAY acts as a program manager, technology platform, and distributor. We facilitate access to financial services through our partners, provide user interface and experience, manage customer relationships, and ensure platform compliance.
3. ELIGIBILITY & ACCOUNT REGISTRATION
3.1 Eligibility Requirements
To use our Services, you must:
Be at least 18 years of age or the age of majority in your jurisdiction
Be a resident of a country where our Services are legally available
Have full legal capacity to enter into binding contracts
Not be subject to any financial sanctions, embargoes, or restrictive measures
Not have been previously suspended or removed from our Services
3.2 Account Registration
You agree to:
Provide accurate, current, and complete information during registration (including full legal name, date of birth, address, government-issued ID, and contact details)
Promptly update your information to keep it accurate and complete
Maintain only one account per individual or legal entity
Not create an account on behalf of someone else without proper authorization
3.3 Business Accounts
If registering as a business, you additionally represent and warrant that:
Your business is duly organized, validly existing, and in good standing under the laws of its jurisdiction
You have authority to bind the business to these Terms
All information provided about the business is accurate
4. KYC/AML COMPLIANCE & VERIFICATION
4.1 Mandatory Verification
All users must complete our Know Your Customer (KYC) verification process before accessing full Services. This includes:
Identity verification (government-issued ID, biometric verification where required)
Address verification (utility bill, bank statement)
Business verification for corporate accounts (certificate of incorporation, beneficial ownership disclosure)
4.2 Ongoing Monitoring
We conduct continuous transaction monitoring and may require:
Additional documentation at any time
Source of wealth/funds information for certain transactions
Regular re-verification of your identity
4.3 Enhanced Due Diligence (EDD)
EDD procedures apply to:
Politically Exposed Persons (PEPs) and their close associates
High Net Worth Individuals with complex financial structures
Customers from high-risk jurisdictions as identified by FATF, EU, or UK lists
Unusual or suspicious transaction patterns (large amounts, rapid movement, structuring)
High-risk business activities (cryptocurrency, international trade, gambling sectors)
4.4 Consequences of Non-Compliance
Failure to complete verification or provide requested documentation may result in:
Account restrictions or limitations
Suspension of Services
Account termination
Funds being held for regulatory reporting purposes
Filing of Suspicious Activity Reports (SARs) as required by law
5. SERVICES DESCRIPTION
5.1 Core Services
WILDPAY provides access to:
Virtual Payment Cards: Single-use and multi-use virtual cards for online transactions
Physical Payment Cards: Where available through partners
Mobile Top-Up Services: Purchase of airtime, data, and digital services for mobile operators globally
Digital Gift Cards: Issuance, distribution, and management of electronic gift cards
Digital Wallet Interface: Platform to view balances, transaction history, and manage cards
5.2 API & Developer Services
For businesses and developers:
API Access: Programmatic access to WILDPAY services (subject to separate API Agreement)
White-label Solutions: Custom integration of WILDPAY services into third-party platforms
Bulk Processing: Tools for mass card issuance, top-ups, or payments
5.3 Service Limitations
Services may not be available in all countries or jurisdictions
Certain features may be restricted based on user verification level
Transaction limits apply based on account type and risk assessment
6. FEES & CHARGES
6.1 Fee Structure
We may charge fees for:
Account maintenance (for business/premium accounts)
Card issuance and replacement
Transaction processing
Currency conversion
API usage and volume-based fees
Chargebacks and dispute resolution
6.2 Disclosure
All fees are disclosed:
At point of service/transaction
In the fee schedule available on our website
Prior to confirming any paid transaction
6.3 Changes to Fees
We reserve the right to modify fees with 30 days' prior notice. Continued use after notice constitutes acceptance.
6.4 Taxes
You are responsible for all applicable taxes (VAT, GST, sales tax, etc.) related to your use of our Services.
7. PROHIBITED ACTIVITIES & TRANSACTIONS
7.1 Strictly Prohibited
You may NOT use WILDPAY Services for:
Money Laundering: Concealing the origins of illegally obtained money
Terrorist Financing: Providing funds for terrorist acts or organizations
Fraud: Any deceptive practice to obtain unauthorized benefits
Sanctions Evasion: Circumventing economic sanctions or embargoes
Illegal Activities: Transactions related to illegal goods or services
7.2 Restricted Transactions
The following activities require prior written approval and may be prohibited:
Gambling, betting, or lottery services
Adult content and services
Cryptocurrency exchanges and trading (except with approved partners)
Pharmaceutical and controlled substances
Weapons, firearms, and ammunition
High-risk multi-level marketing schemes
Debt collection or credit repair services
7.3 Technical Restrictions
You may NOT:
Reverse engineer, decompile, or disassemble our technology
Use bots, scrapers, or automated systems to access Services
Overload our infrastructure with excessive requests
Circumvent security measures or access controls
8. INTELLECTUAL PROPERTY
8.1 Our Property
All rights, title, and interest in the WILDPAY platform, including:
Software, code, algorithms, and APIs
Branding, logos, trademarks, and trade dress
Content, documentation, and know-how
User interface and design elements
8.2 License Grant
We grant you a limited, revocable, non-exclusive, non-transferable license to use our Services for personal or internal business purposes only.
8.3 Third-Party Marks
Mastercard®, Visa®, and other partner logos are trademarks of their respective owners. Use is strictly in accordance with their guidelines.
9. LIMITATION OF LIABILITY & DISCLAIMERS
9.1 No Warranties
Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement.
9.2 Limitation of Liability
To the maximum extent permitted by law, WILDPAY shall not be liable for:
Indirect, incidental, consequential, or punitive damages
Loss of profits, revenue, data, or business opportunities
Damages resulting from third-party services or partners
Force majeure events (natural disasters, war, strikes, etc.)
Unauthorized access due to your security failures
9.3 Maximum Liability
Our aggregate liability shall not exceed the greater of (a) £100 or (b) fees you paid to us in the 6 months preceding the claim.
10. TERMINATION & ACCOUNT CLOSURE
10.1 By You
You may close your account at any time by contacting customer support. Outstanding obligations and fees remain payable.
10.2 By Us
We may suspend or terminate your account:
For violation of these Terms
For suspicious or illegal activity
To comply with legal or regulatory requirements
For prolonged inactivity (typically 12+ months)
At our sole discretion, with or without cause
10.3 Post-Termination
Upon termination:
All licenses and rights granted immediately cease
You must cease all use of Services
We may retain your data as required by law
Outstanding balances remain payable
We may hold funds for up to 180 days to cover chargebacks, disputes, or legal requirements
11. DISPUTE RESOLUTION & GOVERNING LAW
11.1 Governing Law
These Terms are governed by the laws of England and Wales, without regard to conflict of law principles.
11.2 Arbitration Agreement
Any dispute, controversy, or claim arising from these Terms shall be resolved through final and binding arbitration administered by the London Court of International Arbitration (LCIA) under its rules. The seat of arbitration shall be London, England.
11.3 Class Action Waiver
You waive any right to participate in class actions, class arbitrations, or representative actions. Claims may only be brought in individual capacity.
11.4 Exception for Injunctive Relief
Either party may seek injunctive relief in courts of competent jurisdiction to prevent irreparable harm.
12. CHANGES TO TERMS
We may modify these Terms at any time. Material changes will be communicated via:
Email notification to registered users
In-platform notifications
Update of the "Last Updated" date
Continued use 30 days after notification constitutes acceptance of changes.
